Conduct Requirements

You agree to conduct yourself in a professional and ethical manner when interacting with Guest First. Specifically, you agree to:

  • Provide truthful and accurate information in all communications
  • Respect intellectual property rights of Guest First and third parties
  • Maintain confidentiality of proprietary information and methodologies
  • Treat our consultants and staff with respect and professionalism
  • Fulfill payment obligations in accordance with agreed terms
  • Cooperate in good faith during consulting engagements
  • Refrain from any actions that could harm our reputation or business

Prohibited Activities

You expressly agree not to engage in any of the following activities:

  • Reverse engineering, decompiling, or attempting to discover source code of our proprietary systems
  • Using our services to violate the rights of any third party
  • Transmitting viruses, malware, or other harmful code
  • Attempting unauthorized access to our systems, networks, or data
  • Engaging in activities that could overload or damage our infrastructure
  • Misrepresenting your identity or affiliation with any entity
  • Using automated systems to access our services without permission
  • Copying or distributing our materials without authorization

Content Guidelines and Restrictions

User-Generated Content

If you submit any content, feedback, or materials to Guest First, you represent and warrant that:

  • You own or have the necessary rights to the content
  • The content does not infringe upon any third-party rights

  • The content complies with applicable laws and regulations

Content Standards

All content you provide must not contain:

Liability and Warranties

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Guest First disclaims all warranties, express or implied, including but not limited to:

Limitation of Liability

Guest First shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities

  • Business interruption or operational delays
  • Reputational harm or goodwill loss
  • Cost of substitute services or products

Our maximum aggregate liability for any claims arising from these Terms or our services shall not exceed the total fees paid by you to Guest First in the twelve months immediately preceding the claim, or ¥500,000, whichever is less.

Indemnification Obligations

You agree to indemnify, defend, and hold harmless Guest First, its officers, directors, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your violation of these Terms and Conditions
  • Your violation of any applicable laws or regulations
  • Your violation of the rights of any third party
  • Your use or misuse of our services
  • Any content or information you provide to us
  • Your negligence or willful misconduct

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By accepting these terms, you acknowledge that you have read and understand our Privacy Policy.

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

Third-Party Interactions

Our website or services may contain links to third-party websites, services, or resources. We do not control these third parties and are not responsible for their content, privacy practices, or terms of service. Your interactions with third parties are solely between you and the third party.

Force Majeure

Guest First shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, epidemics or pandemics, telecommunications failures, or cyber attacks. During such events, our performance obligations shall be suspended for the duration of the force majeure event.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts based on grounds of forum non conveniens or any other basis.

Dispute Resolution Procedures

Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact Guest First to attempt to resolve the dispute informally. We commit to working in good faith to reach a mutually acceptable resolution within 30 days of receiving notice of the dispute.

Mediation

If informal resolution is unsuccessful, the parties agree to participate in mediation before a mutually agreed-upon mediator. The costs of mediation shall be shared equally unless otherwise agreed.

Litigation

If mediation fails to resolve the dispute, either party may pursue litigation in accordance with the governing law provisions outlined above.

Modification of Terms

Guest First reserves the right to modify, amend, or update these Terms and Conditions at any time. Material changes will be communicated through our website or via direct communication to active clients. Your continued use of our services following such modifications constitutes your acceptance of the updated terms.

It is your responsibility to review these Terms periodically. If you do not agree to any modifications, you must discontinue using our services.

Severability and Interpretation

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be made enforceable, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Headings and Language

Section headings are for convenience only and shall not affect the interpretation of these Terms. In the event of any conflict between different language versions of these Terms, the English version shall prevail.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific consulting agreements, constitute the entire agreement between you and Guest First regarding your use of our services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
