Client Responsibilities

Service Access and Modifications

We strive to maintain continuous availability of our services. However, we reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We may perform scheduled maintenance that temporarily affects service availability.
Service Updates

While we are based in Tokyo and primarily serve the Japanese hospitality market, we may provide services in other geographic regions subject to availability and specific agreements. Some services may be limited based on local regulations or business considerations.
Fees and Payment
Consulting fees are established based on project scope, complexity, and duration. All fees are quoted in Japanese Yen unless otherwise specified. Payment terms will be outlined in individual consulting agreements.

- Late Payments: Late payments may incur additional charges as permitted by law
- Taxes: All fees are exclusive of applicable taxes, which will be added to invoices

Intellectual Property Rights
Our Content and Materials
All content on our website and materials provided through our services, including text, graphics, logos, methodologies, and software, are owned by Guest First or our licensors and are protected by intellectual property laws.
License Grant
We grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. This license does not permit you to resell, redistribute, or create derivative works based on our materials without written permission.
Client Materials
You retain all rights to materials you provide to us during consulting engagements. By providing materials, you grant us a license to use them solely for the purpose of delivering consulting services to you.
Confidentiality
We maintain strict confidentiality regarding client information and business matters. Both parties agree to protect confidential information disclosed during consulting engagements and not to disclose such information to third parties without prior written consent, except as required by law.
Confidentiality obligations survive the termination of our service relationship and remain in effect for a reasonable period as specified in individual agreements, typically five years.
Termination
Either party may terminate a consulting engagement according to the terms specified in the individual service agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms of Service or engage in conduct that we deem harmful to our business or other clients.
Upon termination, you must cease using our services and return or destroy all proprietary materials provided to you. Certain provisions of these Terms, including confidentiality, intellectual property rights, and limitation of liability, survive termination.
Limitation of Liability
To the fullest extent permitted by law, Guest First shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to lost profits, business interruption, or loss of data.
Our total liability for any claims arising from our services shall not exceed the fees paid by you to us during the twelve months preceding the claim. These limitations apply regardless of the legal theory on which the claim is based.
Indemnification
You agree to indemnify, defend, and hold harmless Guest First and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms of Service, your use of our services, or your violation of any rights of third parties.
Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of Japan, without regard to conflict of law principles. The Tokyo District Court shall have exclusive jurisdiction over any disputes arising from these Terms or our services.
Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations. If resolution cannot be achieved through negotiation, either party may pursue mediation or arbitration as an alternative to litigation.
General Provisions
Entire Agreement
These Terms of Service, together with any specific consulting agreements, constitute the entire agreement between you and Guest First regarding the use of our services.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.
